Terms & Conditions of Sale

Effective as of July 1st, 2025

These Terms & Conditions outline the terms under which products and services are sold and delivered. By placing an order, the customer accepts the following terms.

1. Scope of Agreement
These terms apply to all purchases of hardware, software, licensing, and associated services. In cases where a separate, signed agreement exists between both parties, that agreement will take precedence.

2. Product Availability & Accuracy
Product details, pricing, and availability are based on supplier information and may change without notice. While we aim for accuracy, we are not liable for supplier-generated errors or discontinuations.

3. Order Acceptance & Pricing
Orders are not binding until officially accepted. Prices are subject to change before confirmation. Payment terms are determined based on credit assessment and may include prepayment or net terms.

4. Billing & Payment
Invoices are payable according to the terms stated. Late payments are subject to interest charges of 1.5% per month or the maximum allowed by law. Costs related to collections (legal or otherwise) will be the buyer’s responsibility.

5. Shipping & Delivery
Delivery schedules are estimates. Risk of loss transfers upon delivery to the customer’s designated location. Some items may ship separately, and partial fulfillment does not void the remaining order.

6. Software & Licensing
Software is provided under license, not ownership. Usage rights and limitations are governed by the original publisher’s license agreement. All responsibilities related to software compliance fall on the end user.

7. Returns & Cancellations
Returns must be pre-approved and follow manufacturer policies. Custom, configured, or special-order items may not be eligible. Cancellations must be submitted in writing and may incur restocking fees.

8. Warranty & Support
Hardware and software warranties are provided directly by the manufacturer. No additional warranties are offered unless stated in writing. Ongoing support services may be purchased separately.

9. Limitation of Liability
Indirect, incidental, or consequential damages—such as loss of data, revenue, or productivity—are not covered. Liability is limited to the value of the product or service purchased.

10. Usage Restrictions
Products are sold for internal business use only. Export compliance, licensing restrictions, and any applicable international regulations are the sole responsibility of the buyer.

11. Force Majeure
Neither party is liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, supply chain disruptions, or regulatory changes.

12. Communication Preferences
Customers may opt into SMS updates for order and delivery notifications. Message frequency and standard data rates may apply. You may opt out at any time by replying "STOP."

​

13. Governing Law
These terms are governed by the laws of the state or province in which the seller is headquartered. Any disputes shall be resolved in the courts of that jurisdiction.

14. Entire Agreement
This document represents the full agreement relating to the sale of products and services and supersedes prior discussions, proposals, or communications unless otherwise specified in writing.
